Please, read and accept or not this contract :
1. The subject of the contract. «ROBOTRAFF» referred to as the Executor renders the Client the Services according to the List and the description of Services (1.2.). The client uses the given Services, carrying out Instructions for use Services (1.3.). The client pays Services of the Executor according to financial conditions of the present Contracts. 1.1. The moment of the contract conclusion 1.1.1. The text of the present Contract is the public offer. 1.1.2. The offer is considered accepted by the Client on the fact of registration on a site of the Executor as the User of Service, reception of attributes of rights of access (login and the password) for further use of a resource of the Executor in a network the Internet. 1.1.3. The fact of registration of the Client as the User of Service on a site of the Executor means acceptance by the Client of Conditions of the present Contract and means, that the Client agrees with all positions of the present Contract and undertakes to carry out in further Treaty provisions from its part. 1.2. The list and the description of services 1.2.1. Service to the Client renders by the Executor performance of the certain amount of displays of the advertising information of the Client in a network the Internet. It is given to the client: 1.2.1.1. An opportunity of redirecting visitors of sites of the Internet on the advertising information of the Client. 1.2.1.2. An opportunity of reception of statistics by amount of the redirected visitors of sites of a network the Internet on the advertising information of the Client with distribution of the redirected visitors • on a category of sites of a network the Internet • on time of displays, • on geography of visitors. .2.1.3. An opportunity of receiving the statistics on all operations of the Client on payment and reception of Services. Access to the Price-list of the Executor, access to Orders of the Client, access to the exposed accounts and acts of the executed works. 1.3. Instructions for use Services General provisions The present document defines Rules, obligatory for the Client at use of Services of the Executor. Instructions for use Services of the Executor: At using Service of the Executor the Client takes up obligations: do not distribute through a network the Internet any illegal information which contradicts the legislation of the country of accommodation of the computer equipment of the Client and the international legislation; do not use for accommodation in a network the Internet the promotional materials offending human advantage, the materials propagandizing violence, materials which can be used for kindling racial or an ethnic animosity, for the hooligan or roguish purposes; do not use for accommodation in a network the Internet promotional materials, the software or its part and any other materials in full or in part protected by author's or other rights, without the permission of legal owners; do not suppose realization of attempts of direct or indirect access to resources of a network the Internet when access to resources of a network the Internet is limited to the owner or the manager of any concrete resource of a network the Internet; do not suppose actions directed on reception of the non-authorized access to resources of a network the Internet or through a network the Internet to separately taken computer either any other equipment or an information resource or the data and also to destroy or modify the software or the data not belonging to the Client, without the coordination with owners or legal owners of this software or the data or without the coordination with managers of the given information resource; At use for access to a network the Internet of some transit communication networks the Client is obliged to carry out all established laws and rules of use of these networks in the country of a presence of these transit networks. do not use for access in a network the Internet the computer equipment and the software which has been not certificated properly in the country of accommodation of the computer equipment of the Client. 2. Rights and duties of the Executor. 2.1. The executor undertakes: 2.1.1. To render the Client of Service in the order and in the terms established by the present Contract, and under condition of observance by the Client of the requirements established by the present Contract. 2.1.2. To render the Client of service with the round-the-clock diagram with probable breaks. Breaks in granting services can be caused: 2.1.2.1. Action or inactivity of the third parties and – or not serviceability of the transport-information channels which are taking place outside the own resources of the Executor, for no more than 48 hours per month and no more than 24 hours in succession; 2.1.2.2. Necessary repair and - or replacement of the equipment and the software of the Executor, including on emergency circumstances, for no more than 15 hours per month and no more than 8 hours in succession under emergency circumstances. 2.1.3. Do not disclose any information about the Client or the Client’s information without his written permission received by e-mail from the address of the Client specified in the registration data. 2.1.4. To give the Client consulting support on work with resources of the Executor by e-mail provided that the inquiry about consultation has arrived from the address specified in the registration data of the Client. 2.1.5. Beforehand to notify the Client about made scheduled preventive and the repair work connected to a break of functioning of resources of the Executor by means of messages placed on site of the Executor. 2.2. The executor has the right: 2.1.1. To give up to the Client in granting Service in the order and in the terms established by the present Contract without an explanation of the reasons under condition of cancellation by the Executor of the Order of the Client or the Account of the Client up to the moment of actual payment of the Account by the Client with observance of requirements, established by the present Contract. 2.1.2. To sign unilaterally the Act of the executed works. The executor has the right to sign the Act of the executed works if from the moment of signing the Act of the executed works by the Executor unilaterally from the Client to address of the Executor within 3 (three) calendar days has not arrived any written Claims directed by the Client by e-mail from the address of the Client specified in the registration data for and on behalf on the Client. 3. Rights and duties of the Client. 3.1. The client undertakes: 3.1.1. To carry out Instructions for use Services (1.3.) and requirements and the conditions stated in the present Contract, in Appendices and the Additions being an integral part of the present Contract. 3.1.2. To pay to Services in the order, the size and in the terms stipulated by the present Contract. 3.1.3. To guarantee the solvency and capacity in relation to financial operations made by the Client on payment of cost of Services of the Executor. 3.1.4. To guarantee the right to dispose of money resources transferred by the Client on the settlement account of the Executor as payment of Services of the Executor. To guarantee freedom against the right of the third parties to dispose of money resources transferred by the Client on the settlement account of the Executor as payment of Services of the Executor. 3.1.5. To provide nondisclosure to the third parties of the attributes of rights of access appropriated to the Client to resources of the Executor. 3.1.6. Do not use resources of the Executor with a view of, not provided by the present Contract. 3.2. The client has the right: 3.2.1. Without an explanation of some reasons to change the earlier generated Order for performance of Services by the Executor or completely refuse from the Order. 3.2.2. Without an explanation of the reasons refuse from payment of the Account exposed by the Executor. 3.2.3. To change the registration data at own discretion. 3.2.4. To direct to the Executor by e-mail from the address of the Client specified in the registration data the Claim in the established form if the Client does not consider possible to sign for itself the Act of the executed works. 4. Cost of services and the procedure of payments. 4.1. The client on conditions of 100 % of an advance payment pays Services of the Executor in the monetary form. 4.1.1. At payment of Services, cost of Services is determined by the Price-list working at the moment of formation with the Client of the Order. 4.1.2. According to the Price-list the Client independently forms the Order on a site of the Executor. The fact of the ending of formation of the Order the Client means the consent of the Client with the list and cost of Services of the Executor submitted in the Price-list. On the fact of the ending of formation of the Order to the Client the Account on payment is exposed. Currency of the Account is the US dollar. Currency of payment of the Account is the US dollar. 4.1.3. The client is obliged to pay the exposed Account during 3 (three) working days. At absence of payment of the Account on the part of the Client the Executor will cancel the Account. Payment of the Account by the Client is made by means of a plastic card of the Client (Mastercard or Visa) in the order and according to the rules established for the given kinds of payments. Payment of the Account by the Client means the consent of the Client with conditions, the list and terms of rendering of Service by the Executor in interests of the Client and the order of payment of the Account. The Account paid by the Client is the Appendix to the given Contract and is its integral part. 4.1.4. The executor unilaterally signs the Act of the executed works. The Act of the executed works is considered the authorized and signed Executor for and on behalf on the Client if from the Client to address of the Executor within 3 ( three) calendar days from the moment of unilateral signing by the Executor of the Act of the executed works has not arrived any written Claims directed to the Client by e-mail from the address of the Client specified in the registration data. 4.2. At change of conditions of payment and the procedure of payments the Executor in due time places the information on it on the site in the appropriate section. Changes are Addition to the Given Contract and become its integral part. 4.3. The client independently pays all services of the enterprises of communication (or some other foreign organization giving similar services) and - or other charges connected with the necessity of connection with a network the Internet or receptions of access to resources of a network the Internet. 5. The responsibility of the parties. 5.1. The client bears the full responsibility for the actions in a network the Internet. The client also bears the full responsibility for distribution or loss of the attributes of rights of access to resources of the Executor, including for all actions in a network the Internet made under a name and with the password of the Client other physical and - or legal persons. 5.2. The client bears the full responsibility for the actions on payment of Services of the Executor. The client bears the full responsibility for distribution or loss of the attributes of rights of access to payment systems or the plastic cards of the Client used in a network the Internet. The client bears the full responsibility for all actions with plastic cards of the Client in a network the Internet made under a name and with the password of the Client other physical and - or legal persons. 5.3. The client bears the full responsibility for use of a network the Internet and resources of the Executor with a view of, not provided by the present Contract. In case of use by the Client of a network the Internet or resources of the Executor with a view of unforeseen the present Contract the Executor has the right to terminate the present Contract unilaterally. The notice of it goes to the Client by e-mail on the address of the Client specified in the registration data of the Client. In this case, Services in interests of the Client are considered executed as the Executor in full, and the Act of the executed works subscribes the Executor for all sum of the Account paid by the Client. 5.3. At default by the Client or the Executor of the position of the present Contract in which consequences of its infringement specially are not provided, questions at issue will be settled on the basis of mutual arrangements. If the resolution of disputes and disagreements on the basis of mutual arrangements is impossible, they are subject to the sanction in the order established by the current legislation of the Russian Federation and in territory of the Russian Federation. 5.4. At rendering Services in interests of the Client the Executor does not carry any responsibility for some cases of distortion of the information in a network the Internet and delays in granting Services in a network the Internet arisen without fault of the Executor. 5.5. The executor does not carry any responsibility: For quality, the contents, conformity international or to the legislation of some country of the information received or transferred by the Client at use of resources and/or Services of the Executor; For use by the Client of paid services of other organizations to which he has got access by means of resources and/or Services of the Executor; For obligations of the Client to the third parties, arising at use of resources and/or Services of the Executor; For quality of work of the communication lines used by the Client. The executor does not carry the responsibility before the Client for the damage of any sort which have arisen directly or indirectly at use by the Client of Services of the Executor in a network the Internet. The executor does not carry the responsibility before the Client for the damage of any sort put to the Client because of discrepancy of expectations of the Client and received actual results of distribution of the advertising information of the Client in a network the Internet at use of Services of the Executor. 6. Insuperable force. 6.1. The parties are relieved from the responsibility for partial or full default of obligations under the present Contract if it was consequence of insuperable force circumstances, including: a fire, flooding, earthquake, military actions, acts of the state organs and others. 6.2. The party for which there was an impossibility of execution of obligations according to the Contract, is obliged immediately, but not later than 3 days from the moment of occurrence of insuperable force circumstances, notify other Part by e-mail. 6.3. Term of execution of obligations under the present Contract is removed in proportion to time during which insuperable force circumstances operated. 6.4. If insuperable force circumstances operate during two months continuously the present contract can be terminated by the Part unilaterally by a direction of the Notice to other Part. Thus date of cancellation of the Contract considers date of reception other Part of the Notice if only in the Notice later term is not provided. 7. Cancellation of the contract. 7.1. The present Contract can be terminated at any time under the agreement of parties. 7.2. The client at any moment has the right to terminate after the conclusion of the Contract the present Contract under the initiative. 7.3. The executor has the right to unilateral cancellation of the Contract only under condition of full rendering services paid by the Client under condition of observance by the Client of treaty provisions and Instructions for use Services (1.3.). The executor is obliged to notify the Client by e-mail to address of the Client specified in the registration data on cancellation of the Contract not less than for 10 ( ten) calendar days. 7.4. At infringement of one of the Parties of conditions of the present Contract other Party has the right to unilateral cancellation of the Contract on what is obliged to notify by e-mail the Party which has broken the treaty provisions. 7.6. The executor does not carry any responsibility for the notice or not the notice of any third parties about cancellation of the Contract and for the possible consequences which have arisen as a result of such warning or its absence. 8. Completeness of the contract 8.1. The present Contract, including appendices and the Additions being an integral part of the Contract, replaces some other preliminary agreements, settlements, the written and oral arrangements concerning a subject of the present Contract. 9. Other conditions 9.1 Rendering additional Services by the Executor in interests of the Client unforeseen the present Contract, change of terms of performance of Services are made out as Addition to the Contract. 9.2. The present Contract remains in force in case of change of essential elements of the Executor or change of the registration data of the Client, change of constituent documents of the Executor, including change of the proprietor, the organizational - legal form etc. The Executor has the right to transfer rights and duties under the Contract to other legal person. 10. Terms of execution of obligations 10.1. Validity of the present Contract: from the moment of the conclusion of the Contract (according to 1.1.) within 365 calendar days. 11. Other positions 11.1. The parties have the right to inform the fact of the conclusion of the present Contract to the third parties. 11.2. The structure and volume of rendered Services, financial conditions of rendering of Services on the present Contract the Executor in interests of the Client are not subject to disclosure to the third parties. 11.3. All data being a part of resources of the Executor about the registration data of the Client, on structure and volume of rendered Services by the Executor for the Client, about financial conditions of the rendered Services on the present Contract in interests of the Client, the statistics of the Client, the contents of advertising and information materials of the Client and some other information directly or indirectly indicating on the Client or on his interests, is the property of the Executor. The given information are not subject to storage by the Executor more than for the period of action of the given Contract or up to the moment determined by the Executor without participation of the Client or the third parties. After the ending of action of the given Contract the Executor has the right to destroy the given or similar information without the notice of the Client on it, but without the right of copying, distribution or transfer of this information to the third parties. 11.4. All the special conditions unmatched in this Contract are subject to registration by the Parties as Appendices to the present Contract.
